For Customers in North America:

1. These Live Captions Add On Terms and Conditions (the "Add On Terms") are between Sonocent, LLC, a limited liability company with a business address of 4600 140th Ave North, Suite 180, Clearwater, Florida 33762, USA (the “Supplier”) and the undersigned customer (the “Customer”) (each a "party" and together the “parties”). These Add On Terms work together with the Accepted Quotation and Genio Commercial Agreement, including any Bespoke Agreement that the parties have entered into (the "Original Agreement"). 

2. Unless otherwise stated, the definitions in the Original Agreement apply to these Add On Terms.  

3. The Customer wishes to purchase live captions functionality as an add on to their existing Genio for Education package (the "Live Captions Feature"). By signing the quotation for the Live Captions Feature, or, by providing a validly accepted purchase order (the "Add On Accepted Quotation"), the Customer is agreeing to the Add On Terms and to pay the amount stated in the Add On Accepted Quotation, in the manner detailed in the Add On Accepted Quotation. 

4. These Add On Terms are effective as of the date of the Add On Accepted Quotation and shall be valid for the remainder of the Initial Subscription Term or Renewal Period. 

5. In the event of a conflict between the Add On Terms and the Original Agreement, the Add On Terms will govern. 

6. Use of the Live Captions Feature is subject to fair usage.  Fair usage is determined at the Supplier's sole discretion. Where fair usage of the Live Captions Feature is exceeded on a continued basis, the Supplier reserves the right to:

  1. suspend access to the Services in whole, or, in part on an individual End User basis; or
  2. terminate access to the Services in whole, or, in part on an individual End User basis; or
  3. charge the Customer for the excessive usage ("Excessive Use Charge").

The Supplier will contact the Customer directly prior to enforcing (a), (b) or (c), in order to provide the Customer with a reasonable opportunity to address the issue first.

For Customers in the UK:

1. These Live Captions Add On Terms and Conditions (the "Add On Terms") are between Sonocent Limited, with a business address of 4 The Boulevard, Leeds Dock, Leeds, West Yorkshire, LS10 1PZ United Kingdom (the “Supplier”) and the undersigned customer (the “Customer”) (each a "party" and together the “parties”). These Add On Terms work together with the Accepted Quotation and Genio Commercial Agreement, including any Bespoke Agreement that the parties have entered into (the "Original Agreement"). 

2. Unless otherwise stated, the definitions in the Original Agreement apply to these Add On Terms.  

3. The Customer wishes to purchase live captions functionality as an add on to their existing Genio Notes + Captions package (the "Live Captions Feature"). By signing the quotation for the Live Captions Feature, or, by providing a validly accepted purchase order (the "Add On Accepted Quotation"), the Customer is agreeing to the Add On Terms and to pay the amount stated in the Add On Accepted Quotation, in the manner detailed in the Add On Accepted Quotation.
